Introduction

This website is operated by Aura UG (haftungsbeschränkt), Ludwig-Erhard-Straße 18, 20459 Hamburg, Germany (registered at Amtsgericht Hamburg, HRB 192077). Aura UG provides the Shoppex software platform. Throughout these Terms, "Shoppex", "we", "us" and "our" refer to Aura UG (haftungsbeschränkt).

Shoppex provides software and hosting tools that merchants use to create and operate their own stores. Shoppex is not the seller of a merchant's products, is not the merchant of record for those sales, and does not become a party to the contract between a merchant and a buyer.

By creating an account, accessing the platform, or using any Shoppex feature, you use our "Service" and agree to these Terms of Service, including the policies referenced here.

Please read these Terms of Service carefully before accessing or using our website. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

Any new features or tools which are added to the current platform shall also be subject to the Terms of Service. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Section 1 – Accounts and Merchant Responsibilities

By agreeing to these Terms of Service, you represent that you are legally able to enter into this agreement. If you use the Service for a company or other organization, you represent that you are authorized to accept these Terms on its behalf.

You are responsible for your store, products, content, customer communications, taxes, refunds, and compliance with laws that apply to your business. This includes providing any legally required merchant identity, imprint, consumer, pricing, and cancellation information to your buyers.

You may not use the Service for an illegal or unauthorized purpose or violate applicable law, including intellectual property law.

You must not transmit any worms, viruses, or any code of a destructive nature.

A material breach of these Terms may result in restriction, suspension, or termination of your account.

Section 2 – General Conditions

We reserve the right to refuse service to anyone for any reason at any time.

You understand that operating the Service requires transmitting and processing your content across networks and infrastructure providers. We handle personal data as described in our Privacy Policy.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Section 3 – Accuracy, Completeness and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions.

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time.

Section 4 – Modifications to the Service and Prices

Prices for the Shoppex Service may change. We will provide notice of changes that affect an active paid plan as required by applicable law or the applicable billing agreement.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

Section 5 – Merchant Content and Commerce

Merchants, not Shoppex, offer and sell the products and services listed in stores operated with the platform. Each merchant controls its catalogue, descriptions, prices, availability, order fulfilment, customer support, refunds, and other store policies.

Shoppex does not own, inspect, endorse, or guarantee merchant products or services. Questions, claims, cancellations, and disputes about a purchase must be addressed to the merchant identified by the store, without limiting any reporting option available through Shoppex.

Shoppex does not routinely pre-approve every merchant listing. We may investigate reports, request relevant information, restrict access to content, or suspend accounts where required by law or these Terms.

Section 6 – Account Information

You must provide accurate and current information for your Shoppex account and protect your credentials. You are responsible for activity carried out through your account unless caused by a failure of the Service that is attributable to us.

You must keep the contact and billing information used for your Shoppex subscription current so that we can administer the Service and contact you when necessary.

Account deletion and data retention are handled in accordance with our Privacy Policy, legal retention duties, and the technical deletion options made available in the Service.

Section 7 – Payments & Fees

This section concerns fees owed to Aura UG for the Shoppex Service. Unless stated otherwise, Shoppex plan prices are stated in Euros (€) and include applicable VAT where required. Fees are non-refundable unless required by law or separately agreed in writing.

Subscription plans renew automatically at the end of each billing cycle unless cancelled before the renewal date via your account dashboard.

We reserve the right to change our pricing at any time. Any price changes will take effect at the start of the next billing cycle following notice to you.

Buyer payments for merchant sales are processed through payment providers configured and controlled by the merchant. Shoppex is not the merchant of record and does not take custody of those buyer funds. The merchant's agreement with its payment provider governs payment processing and payouts.

Section 8 – Optional Tools

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

Section 9 – Third-Party Links

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy of those websites and we do not warrant and will not have any liability or responsibility for any third-party materials or websites.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites.

Section 10 – User Comments, Feedback and Other Submissions

If, at our request, you send certain specific submissions or without a request you send creative ideas, suggestions, proposals, plans, or other materials, you agree that we may, at any time, edit and use them without restriction.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous, abusive, or obscene material, nor contain malware or other malicious code.

Section 11 – Errors, Inaccuracies and Omissions

Information about the Shoppex Service may occasionally contain typographical errors, inaccuracies, or omissions. We may correct or update that information. Merchants remain responsible for correcting information shown in their own stores.

Section 12 – Prohibited Uses

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content to facilitate or sell illegal goods or services under applicable law, including but not limited to: controlled substances, counterfeit goods, weapons, stolen data, malware, exploits, or fraud-related services.

You are also prohibited from: violating intellectual property rights; violating export control laws; identity theft or phishing; distributing malware or harmful code; interfering with or circumventing the security features of the Service or any related website, or other systems or networks.

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

Section 13 – Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free.

Your use of the service is at your sole risk. The service is provided "as is" and "as available" without any representation, warranties, or conditions of any kind.

Aura UG (haftungsbeschränkt) shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the service or inability to access it.

Section 14 – Indemnification

You agree to indemnify, defend, and hold harmless Aura UG (haftungsbeschränkt) and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable legal fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Section 15 – Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, which describes how we process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable German data protection laws.

To report abuse, illegal content, fraud, or other misuse of the platform, use our Report Abuse form.

Section 16 – Severability

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service; such determination shall not affect the validity and enforceability of any other remaining provisions.

Section 17 – Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. We may also terminate this agreement at any time without notice if, in our sole judgment, you fail to comply with any term or provision of these Terms of Service.

Section 18 – Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Hamburg, Germany, to the extent permitted by applicable law.
